Terms of Service Agreement

These Terms of Service ("Terms") govern your use of the VibeQL application (the "Application") provided by VibeQL ("we", "our", or "us"). By downloading, installing, or using the Application, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Application.

VibeQL operates on a perpetual license model with the following terms:

• Pro License: A one-time purchase of $99 grants you a perpetual, non-exclusive license to use the Application on up to three (3) devices you own or control. This license includes one year of updates from the date of purchase.
• Enterprise License: For $499 per year, you receive a perpetual license with unlimited seats. This license includes one year of updates from the date of purchase or renewal.
• "Use Forever" Definition: After your update period ends, you may continue to use the version of the software you have indefinitely, but will not receive further updates, features, or bug fixes unless you renew your license or repurchase.

Under these Terms, you agree not to:

• Copy, modify, or create derivative works of the Application
• Reverse engineer, decompile, or attempt to extract the source code of the Application
• Remove any copyright or proprietary notices from the Application
• Use the Application for any illegal purpose or in violation of any local, state, national, or international law
• Transfer, sublicense, lease, lend, rent or otherwise distribute the Application to any third party
• Use the Application in a manner that could damage, disable, overburden, or impair VibeQL's servers or networks
• Use any robot, spider, or other automated device to access the Application

VibeQL operates on a "Bring Your Own Keys" (BYOK) model for AI services. By using these features:

• You acknowledge that you are responsible for obtaining and maintaining valid API keys for any third-party services used with the Application
• You agree to comply with all terms and conditions of any third-party services you connect to the Application
• You understand that VibeQL has no control over these third-party services and is not responsible for their availability, quality, or any damage caused by them
• You acknowledge that any data transmitted to third-party services (such as AI providers) is subject to their respective privacy policies and terms

VibeQL is designed to interact with your database systems. With respect to these interactions:

• You are solely responsible for the integrity, security, and legality of your database systems and the data contained within them
• You must ensure you have proper authorization to access any database you connect to via the Application
• You acknowledge that VibeQL does not store, process, or transmit your database credentials, queries, or results to our servers
• You are responsible for the accuracy of any SQL queries created with the Application's assistance and should verify them before execution on production systems

Your license includes access to updates and basic support for one (1) year from the purchase date:

• During this period, you will receive all updates, including new features, bug fixes, and security updates
• After this period, you may continue to use the last version you received indefinitely
• To receive new updates after your update period expires, you must renew your license or repurchase
• We reserve the right to discontinue support for older versions of the Application
• Technical support is provided on a reasonable-effort basis via email

The Application, including all content, features, and functionality, is owned by VibeQL and is protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

Your purchase of a license grants you the right to use the Application but does not transfer any ownership rights to you. All rights not expressly granted to you are reserved by VibeQL.

THE APPLICATION IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the Application will function without error or interruption, that defects will be corrected, or that the Application is free of viruses or other harmful components.

We specifically disclaim any warranty regarding the accuracy or reliability of SQL queries generated by the AI features of the Application. You are responsible for verifying all queries before execution.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL VIBEQL BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL DAMAGES, OR ANY DAMAGES WHATSOEVER INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF USE, DATA, PROFITS, ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OR PERFORMANCE OF THE APPLICATION.

VIBEQL SHALL NOT BE LIABLE FOR ANY DAMAGE, LOSS, OR INJURY RESULTING FROM HACKING, TAMPERING, OR OTHER UNAUTHORIZED ACCESS OR USE OF THE APPLICATION OR YOUR ACCOUNT.

VIBEQL IS NOT LIABLE FOR DAMAGES OF ANY KIND RESULTING FROM YOUR USE OF OR INABILITY TO USE THIRD-PARTY SERVICES CONNECTED TO THE APPLICATION, INCLUDING BUT NOT LIMITED TO DAMAGES CAUSED BY INCORRECT SQL QUERIES OR DATABASE OPERATIONS.

IF, NOTWITHSTANDING THE OTHER PROVISIONS OF THESE TERMS, VIBEQL IS FOUND TO BE LIABLE, OUR LIABILITY TO YOU OR ANY THIRD PARTY IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID FOR THE APPLICATION, OR (B) $100.

In accordance with the Brazilian Consumer Defense Code (Article 49 of Law No. 8.078/90) and similar consumer protection laws in other jurisdictions:

• 7-Day Right of Repentance: If you are a consumer in Brazil, you have the legal right to cancel your purchase and request a full refund within 7 days from the date you received access to the Application, without the need to provide any reason.
• How to Request a Refund: To exercise your right of repentance, you must notify us by sending an email to hello@vibeql.com within the 7-day period, clearly expressing your desire to cancel the purchase.
• Refund Process: Upon receiving a valid refund request within the 7-day period, we will process the refund using the same payment method used for the purchase, within a reasonable timeframe not exceeding 30 days.
• After the 7-Day Period: After the 7-day right of repentance period has passed, we may still consider refunds on a case-by-case basis for significant technical issues that we cannot resolve and that prevent the Application from functioning as advertised.

This refund policy applies to individual consumers. For Enterprise purchases, please refer to the specific terms outlined in your enterprise agreement.

We reserve the right to terminate or suspend your license and access to the Application at any time, without notice and without liability, for any reason including, but not limited to:

• Violation of these Terms
• Use of the Application in a manner that may cause legal liability for VibeQL
• Use of the Application in a manner that may infringe upon the intellectual property rights of others

Upon termination, your right to use the Application will immediately cease.

These Terms shall be governed by the laws of Brazil, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or your use of the Application shall be resolved through binding arbitration in accordance with the rules of the Brazilian Arbitration Committee. The arbitration shall take place in Brasília, Brazil, and shall be conducted in English.

Any claim must be brought in your individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding.

We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on this page and updating the "Last Updated" date.

Your continued use of the Application after any such changes constitutes your acceptance of the new Terms. If you do not agree to the new Terms, you must stop using the Application.
